Marketplace Run2biz Terms of Use

These Marketplace Run2biz Terms of Use (the "Marketplace Terms of Use") are applicable to your access and use of the Run2biz Marketplace, located at https://marketplace.4biz.one, operated by RUN2BIZ SOFTWARE LTDA. ("Run2biz," "we," or "us") and constitute a legal agreement between you and Run2biz. By accessing or using the Run2biz Marketplace, you agree and confirm that your organization is a current customer of Run2biz, acknowledge that you understand and agree to comply with these Marketplace Terms of Use and all applicable laws and regulations when using the Run2biz Marketplace, and have the authority to agree to these terms on behalf of your organization. If you do not understand or agree to comply with these Marketplace Terms of Use, do not access, use, or create an Account for the Run2biz Marketplace. If your organization's master agreement with Run2biz does not permit Click-Through agreements, and you wish to use and access the Run2biz Marketplace, please contact us to make alternative agreements.

The Run2biz Marketplace makes available for use standalone programs built using the Run2biz Platform and other components (each an "Application") that are obtained from (i) third-party independent developers or vendors ("Vendors") or (ii) Run2biz. The terms of use for Applications developed and obtained by Run2biz ("Run2biz Applications") are included below. The use of Applications obtained from Vendors may be governed by the terms of the Vendor's end-user license agreement or other applicable agreement for each Vendor Application. Each Vendor is solely responsible for their Applications, including, without limitation, (i) all content, services, or subscriptions provided through or in connection with the Application, (ii) the development, installation, maintenance, and support service, if applicable, and use of the Application, (iii) all warranties for the Application, whether expressed or implied by law, to the extent not effectively waived in the applicable license agreement, or other claims, losses, liabilities, damages, costs, or expenses attributable to any breach of any warranty, and (iv) the investigation, defense, resolution, and settlement of any liabilities or claims by you or third parties related to the Application, including but not limited to product liability, personal injury, or death, non-compliance with applicable law, rule, or regulation, and infringement or misappropriation of intellectual property or other third-party rights.

If you are a Vendor who wishes to submit an Application to the Run2biz Marketplace, you must have entered into a separate license agreement or technology partner agreement with Run2biz. Your rights and responsibilities for any Applications submitted to the Run2biz Marketplace will be governed by the terms and conditions of such separate agreement and not by these Marketplace Terms of Use.

We reserve the right to modify these Marketplace Terms of Use, in whole or in part, at our sole discretion at any time. Such modifications will be effective immediately upon the binding of the modified Marketplace Terms of Use to the Run2biz Marketplace. You agree to comply with and be bound by any modifications, either (a) by continuing to use or access the Run2biz Marketplace after the publication of the modified Marketplace Terms of Use on the Run2biz Marketplace within seven (7) days after receiving notice of the modifications as described above.

We reserve the right, at our sole discretion, to take any of the following actions at any time, for any reason or no reason, with or without notice, and without liability: (1) refuse, restrict, modify, suspend, or terminate the operation or your access to the Run2biz Marketplace, or any part of the Run2biz Marketplace; (2) modify or alter the Run2biz Marketplace or any part of the Run2biz Marketplace; and (3) interrupt the regular operation of the Run2biz Marketplace or any part of the Run2biz Marketplace, as necessary for routine or non-routine maintenance, error correction, or other changes to the Run2biz Marketplace. We may also make improvements or changes to the products or programs described in the Run2biz Marketplace at any time without prior notice.

Certain areas of the Run2biz Marketplace may contain formal and informal documentation related to Run2biz products, along with materials prepared by third parties. Any warranties of Run2biz regarding the conformity of its products with specifications and documentation found in its software license agreement apply ONLY to the documentation provided to you in conjunction with the product. In the event of a conflict between the formal documentation found in the Run2biz Marketplace and the formal documentation provided to you with your product, the latter shall prevail.
